1. Acceptance of Terms

By accessing or using FileNaut (filenaut.com), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. We reserve the right to modify these terms at any time, and your continued use of the site constitutes acceptance of any changes.

2. Description of Service

FileNaut provides free, browser-based tools for working with files including PDFs, images, code, data formats, and other document types. All file processing occurs client-side in your web browser — files are never uploaded to our servers.

We may add, modify, or discontinue tools or features at any time without prior notice.

3. User Responsibilities

You are solely responsible for:

  • The files you process using our tools
  • Ensuring you have the right to process, modify, or convert any files you use with our tools
  • Maintaining backups of your original files before processing
  • Complying with all applicable laws when using our services
  • Any content you create or modify using our tools

4. Client-Side Processing

All file processing on FileNaut occurs within your web browser. We do not receive, store, or have access to any files you process. As a result:

  • We cannot recover files that are lost during processing
  • Processing speed and capability depend on your device and browser
  • Very large files may not process successfully on all devices
  • You are responsible for downloading and saving any processed files before leaving the page

5. Intellectual Property

The FileNaut website, including its design, code, features, and branding, is the intellectual property of FileNaut and is protected by applicable copyright and trademark laws.

You retain all rights to your files. Using our tools does not grant us any rights to your content. Since files are processed locally in your browser, we never have access to or claim any ownership over your files or the output produced by our tools.

6. Prohibited Uses

You agree not to:

  • Use the service for any illegal or unauthorized purpose
  • Attempt to interfere with or disrupt the website or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the website
  • Use automated tools to scrape or extract content from the website
  • Reproduce, duplicate, or resell any part of the service without permission

7. Service Tiers & Limitations

FileNaut is currently in free beta with unlimited access to all tools. We plan to introduce the following tiers in the future:

  • Free tier: Access to core tools with daily usage limits and file size restrictions
  • Premium tier: Enhanced limits, batch processing, and an ad-free experience
  • API tier: Programmatic access to tools for developers

Specific limits and pricing for each tier will be announced before launch. We reserve the right to modify tiers and pricing at any time.

8. Disclaimer of Warranties

FileNaut is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The service will be uninterrupted, secure, or error-free
  • Results obtained from the tools will be accurate or reliable
  • Any defects in the service will be corrected
  • The service will meet your specific requirements

9. Limitation of Liability

To the fullest extent permitted by applicable law, FileNaut and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of data or files
  • Loss of profits or revenue
  • Business interruption
  • Damage to your device or software
  • Any other damages arising from the use or inability to use the service

Our total liability for any claims related to the service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or $100 CAD, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless FileNaut, its operators, and affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the service, your violation of these terms, or your violation of any rights of a third party.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

13. Changes to Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Your continued use of the service after any changes constitutes acceptance of the new terms.
